All licences marketed on this website are authentic, original and acquired under Spanish and European law, in particular under the Judgment of the Court of Justice of the European Union of 3 July 2012 (Case C-128/11, UsedSoft GmbH v. Oracle), which establishes the principle of exhaustion of the distribution right over copies of computer programs within the EU.

Throughout this document, MYA WIFI S.L.U. will be referred to interchangeably as "the Seller", "La Tienda de las Licencias" or "we".

2.- Purpose and scope

This Legal Notice governs access to, browsing of and use of the website https://latiendadelaslicencias.com (hereinafter, "the Website") by users. Access to and/or use of the Website grants the User status and implies full, unreserved acceptance of each and every provision set out in this Legal Notice, as well as in any other applicable rules and policies (General Terms and Conditions of Sale, Privacy and Cookie Policy).

La Tienda de las Licencias is an online shop specialising in the sale of original and legal software licences (new and second-hand under the UsedSoft framework) for personal and business use, including operating systems, office suites, server software, databases, antivirus and utility software.

Official domains

La Tienda de las Licencias operates exclusively from the following official domains. Any commercial communication, sale or support activity carried out outside these domains is not binding on the Seller:

3.- Nature of the activity and relationship with manufacturers

La Tienda de las Licencias acts at all times as an independent reseller of software licences. The Seller:

  1. Is not the owner of the software to which the licences relate. The intellectual property rights over the software belong to their respective manufacturers (Microsoft, Adobe, Kaspersky, Bitdefender, ESET, Norton, McAfee, Panda, Acronis, Veeam, etc.).
  2. Markets licences under the principle of exhaustion of the distribution right established by the CJEU Judgment C-128/11 (UsedSoft v. Oracle), which allows the legal resale of software licences within the European Union.
  3. Delivers licences 100% digitally, by email, automatically and instantly upon payment confirmation. No physical media is shipped.
  4. Guarantees that all licences are activatable, comply with the terms announced on the product page and come with post-sales technical support.

IMPORTANT NOTICE ON AFFILIATION: MYA WIFI S.L.U. (La Tienda de las Licencias) IS NOT an official distributor, partner, business partner, agent or authorised reseller of Microsoft Corporation, Adobe Inc., Kaspersky Lab, Bitdefender, ESET, Symantec (Norton), McAfee, Acronis, Veeam or any other manufacturer whose licences are marketed on this Website. There is no contractual, commercial, affiliation, sponsorship or any other relationship between MYA WIFI S.L.U. and these manufacturers. La Tienda de las Licencias acts exclusively as an independent reseller under the European regulations cited above.

Exception — Panda Security: in the specific case of Panda Security products, MYA WIFI S.L.U. does maintain a formal relationship as an authorised official reseller. This relationship is strictly limited to Panda licences and does not extend to the rest of the catalogue.

Legal framework for software licence resale

The resale of perpetual software licences within the European Union is a fully legal economic activity, recognised and protected by EU case law. The applicable framework is:

  • CJEU Judgment of 3 July 2012, Case C-128/11 (UsedSoft GmbH v. Oracle International Corp.): establishes the principle of exhaustion of the distribution right over copies of computer programs. Once a licence has been legally sold by its rights holder within the EU, the distribution right is exhausted and the acquirer may resell it without the manufacturer's authorisation.
  • Directive 2009/24/EC of the European Parliament and of the Council, on the legal protection of computer programs, Article 4.2.
  • Royal Legislative Decree 1/1996, of 12 April, Consolidated Text of the Spanish Intellectual Property Law, which transposes the Directive into Spanish law.

4.- Access and use conditions

Free and open access

Access to the Website is free and open. Registration is not required to browse the catalogue or to make a purchase, although registration makes order tracking and personalised offers easier.

User obligations

The User undertakes to:

  • Use the Website in accordance with current legislation, good faith, public order and the provisions of this Legal Notice.
  • Provide truthful, accurate and up-to-date information during the registration or purchase process, especially regarding billing data.

Minors

Products marketed by La Tienda de las Licencias are intended for persons aged 18 and over or, where applicable, for minors with express parental or guardian consent. Personal data of children under 14 years of age will not be processed under any circumstances.

5.- Nature of the blog and informational content

The Website includes a blog section (blog.latiendadelaslicencias.com) with articles, technical guides, tutorials and news related to the software marketed. This section is informational and educational only; it does not constitute a binding commercial offer nor does it form part of the sales contract.

Only product pages located in the shop area (with a visible buy button and express price) constitute binding commercial offers. All other content (blog, social media, comparisons, opinions) consists merely of opinions or general information without contractual value.

The blog may include promotional links to third-party websites. The Seller is not responsible for the content, availability, quality or services provided by such third parties.

6.- Intellectual and industrial property

Rights over the website

All content on the Website — including, without limitation, text, photographs, graphics, images, icons, technology, software, links, graphic design, source code and other audiovisual or audio content — is the exclusive property of the Seller or third-party licensors and is protected by national and international intellectual and industrial property regulations.

The User is expressly prohibited from reproducing, copying, distributing, transforming, publicly communicating, making available, modifying or commercially exploiting the content of the Website by any means, in whole or in part, without the express written authorisation of the Seller.

Third-party trademarks

The trademarks, logos and trading names of the software manufacturers whose licences are marketed (Microsoft, Windows, Office, SQL Server, Adobe, Bitdefender, ESET, Kaspersky, Norton, McAfee, Panda, Acronis, Veeam, among others) belong to their respective owners. Their use on this Website is solely for informational and descriptive purposes of the products offered, in accordance with fair use permitted by trademark law.

The appearance of these trademarks on the Website does not in any way imply association, sponsorship, endorsement, affiliation or commercial relationship between MYA WIFI S.L.U. and the respective rights holders, except for the express exception of Panda Security mentioned in section 3 of this Legal Notice.

User reviews and ratings

Reviews, ratings and content freely published by users on the Website may be used by the Seller for promotional purposes and service improvement. The Seller reserves the right to moderate, modify or remove reviews containing offensive, unlawful content, unauthorised advertising or personal data of third parties.

Specific prohibitions

The following is expressly prohibited:

  • Citing or linking to the Website in order to destabilise its positioning in search engines, rankings or third-party applications (negative SEO).
  • Engaging in unfair competition practices under Spanish Law 3/1991 of 10 January.
  • Citing or linking to own or third-party content that is unlawful, harmful or contrary to public morals, including pornographic, violent, racist, xenophobic, terrorist or pirated content.
  • Using the text, images or structured data of the Website to train generative artificial intelligence models, in accordance with the opt-out right under Article 4 of Directive (EU) 2019/790.

7.- Disclaimer of liability

  1. The Seller does not guarantee the continuous availability of the Website, which may be temporarily suspended for technical, maintenance, security or force majeure reasons, without giving rise to any right to compensation.
  2. Access to the Website does not imply an obligation on the Seller to verify the absence of viruses or any other harmful computer element. It is the User's responsibility to have the appropriate tools to detect and disinfect harmful software.
  3. The Seller is not responsible for decisions made by the User based on the informational content published on the blog or in other informational sections of the Website.
  4. The Website requires services and supplies from third parties (hosting providers, payment gateways, CDNs, email providers) whose reliability, quality, continuity and operation are not the direct responsibility of the Seller.
  5. The use of the Website for purposes harmful to the property or interests of the Seller or third parties, or that overload, damage or render unusable networks, servers and computer equipment of any of the parties, is expressly prohibited.
  6. The User is solely responsible for the content, comments or reviews they publish on the Website. Users are advised not to include their own or third-party personal data in public comments. If the User publishes unsolicited data and subsequently needs content removed, they must bear the resulting costs, without prejudice to other legal responsibilities.

8.- Reporting of unlawful activities

In summary, MYA WIFI S.L.U. processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018, of 5 December, on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD), having adopted appropriate technical and organisational measures under Article 32 of the GDPR.

10.- Dispute resolution and applicable law

Applicable law

This Legal Notice is governed by Spanish law. In particular, the following apply:

  • Spanish Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSI-CE).
  • Royal Legislative Decree 1/2007, of 16 November, approving the consolidated text of the General Law for the Defence of Consumers and Users (TRLGDCU).
  • Regulation (EU) 2016/679 General Data Protection Regulation (GDPR).
  • Organic Law 3/2018 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD).
  • Royal Legislative Decree 1/1996, of 12 April, Consolidated Text of the Intellectual Property Law.
  • Judgment of the CJEU of 3 July 2012 (Case C-128/11, UsedSoft v. Oracle).

Jurisdiction

For the resolution of disputes arising from the use of the Website, the parties submit to the jurisdiction of the courts of the consumer's domicile, in the case of final consumers, in accordance with consumer protection regulations.

In business-to-business relationships (B2B, sales to resellers or companies), the parties expressly submit to the Courts of Ponferrada (León), expressly waiving any other jurisdiction to which they may be entitled.
